Important preparation
Owners often see his business differently than the investor. That is why we look at your business with an emphasis on its strengths and weaknesses. We determine the true value of the firm, who it might be a good fit for, and at what price it could be sold for.
Based on a detailed analysis, we will prepare a list of potential investors. We go through each option with you, including the reasons why they might be interested in an acquisition. The final selection of investors to approach is always in your hands.

Marketing materials
We prepare a profile and information memorandum about your company. The goal is to present the equity story, highlight its strengths and growth potential. We work together to develop a financial plan and realistic assumptions for future development in order to help investors see beyond the past and buy into your vision.
This step also includes normalizing financial results to help refine the final valuation.

Investor outreach
We approach investors and actively promote your company. We present only the company itself, but also the transaction process and the rationale to each investor individually.
After signing a non-disclosure agreement (NDA) , we provide an information memorandum and a process letter. This sets out clear rules for comparing and evaluating offers.

Evaluation of indicative offers
This is the first critical milestone of the entire process. We present to you the offers, investor attitudes, and their expectations. You can take your time comparing them on you own. The range of pricing and terms tends to be significant.
We negotiate intensely with each individual investor about their offer and discuss any potentially unacceptable terms. Together, we decide on one or more investors who will proceed to the next stage.

Due diligence
Investors ask to check the legal, tax and financial status of the company. We prepare a list of requirements for due diligence and subsequently manage a digital repository where investors can analyze documents.
Hundreds of questions arise during due diligence, therefore we manage the Q&A section and the entire communication process. This allows you to focus on managing your business. Finally, we prepare materials for management interviews.

Evaluation of binding offers
The due diligence process is followed by the submission of binding offers. We evaluate these and compare them with indicative offers. We jointly discuss all differences and the consequences of the due diligence process.
The result of this phase in an agreement on all key commercial parameters of the transaction. This is confirmed in the form of a revised binding offer or a term sheet.

Transaction documentation
We cooperate with a selected law firm on the first draft of the purchase agreement. We help incorporate the agreed terms and condition into the agreement, as well as any protective mechanisms, timing, and financial limits.
In the event of not selling a 100% stake, we set the terms and conditions for the future transfer of the remaining part, including the shareholder agreement and its schedule.

Fianl settlement
The purchase agreement is followed by a settlement agreement with the bank for the safe transfer of the purchase price and shareholding of the company. We assist with the settlement and post-transaction adjustments. With the formal handover, the company becomes the property of the investor, yet the seller often retains a certain role.
We traditionally conclude the sale with a joint celebration of all parties involved - as a symbol of a fair and successful conclusion.
