We begin by analyzing your acquisition plans and discussing the options for financing the purchase price. We help define the assessment criteria for the acquisition and evaluate the risks and expected returns.
In other words, we will discuss who you are looking for, and why, and how the acquisition should benefit your business. Clearly defined goals are the foundation of a successful transaction.

Outreach and negotiation
We present a list of potential acquisition targets and propose an optimal "acquisition story" to appeal to company owners. We establish initial contact with the selected companies and overcome any communication or cultural barriers. We set up an open dialogue between both parties.

Analysis and valuation
We perform detailed data analysis, target company valuation and synergy modelling. Based on the results, we prepare an indicative offer and subsequently a Letter of Intent, which defines the agreements between both parties.

Target company due diligence
In collaboration with external experts (lawyers, accountants and tax specialists) we assist in the due diligence of the acquired company. We will be concerned in the actual state of accounting, finance, taxes, legal matters, and HR. An assessment of business sustainability and verification of synergies are also a component of due diligence.

Binding offer
After careful evaluation of the due diligence findings, we prepare a binding offer, which we present to the selling party. We then proceed to negotiate the final commercial parameters of the transaction.

Transaction closing
During the final phase, we negotiate all legal documentation in cooperation with the lawyers and manage the settlement of the deal. We manage the entire process with an emphasis on precision and smooth execution until the final completion of the acquisition of shares or stakes.
The deal is traditionally concluded with a joint lunch or dinner attended by all parties.
